Black Angus Steakhouse Opens 10th Restaurant In Greater Phoenix North Scottsdale Location is Chain’s 88th Restaurant in the U.S.

LOS ALTOS, CA – December 5, 2005 – Black Angus Steakhouse, with more than 80 locations in 10 states in the West and Midwest, announced today the opening of its 88th restaurant in North Scottsdale, Arizona. The new restaurant is the 10th Black Angus Steakhouse in the Greater Phoenix area.
The new restaurant is located across from the Harkins Theaters in the Scottsdale 101 entertainment, dining, and shopping complex at 7000 East Mayo Boulevard. Beginning today, the restaurant will be serving dinner from 4-10 PM Sunday – Thursday, and until 11 PM on Friday and Saturday. The restaurant will open for lunch on Monday, December 12th.

restaurants, with 88 locations in ten states
throughout the West and Midwest, hosted
their first annual Awards Gala, which recognized
key management for financial success in
2004, at the MGM Grand Hotel and Casino
in Las Vegas, Nevada on March 7, 2005. Over
100 people from executives to field management
to chefs were in attendance. The awards
presented were as follows:

Super Bonus Awards were given to 41
restaurants for exceeding their 2004 Profit
Goals

Six of the restaurants were recognized
for additional success as $100,000 Club
Winners

Select managers received the highest
honor, the CEO Award
Attendees were treated to a lovely luncheon
banquet and Awards Ceremony, followed by
a showing of the new Cirque du Soleil show,
KA. Those individuals who achieved $100,000
Club Member status were given beautiful
navy blue blazers with gold buttons and
a 14-karat gold pin that says $100,000 Club.
The executive team at Black Angus has stated
that these awards come at a crucial time
as the restaurants are currently undergoing
a financial reorganization and that the
2004 Awards Gala marks the future success

Restaurant Group, Inc. Reaches Agreement
with Noteholders to Deleverage Its Balance
Sheet

Los Altos,
CA, September 27 2004 - American Restaurant
Group, Inc. ("ARG" or the "Company")
today announced that it has reached an agreement
with members of an ad hoc committee of holders
of over 70% of its Secured Notes (the "Noteholders'
Committee") on the terms of a comprehensive
financial restructuring. The financial restructuring
will be implemented through a pre-negotiated
Plan of Reorganization in Chapter 11 cases
to be filed by the Company in Los Angeles.
The financial restructuring will substantially
deleverage the Company's balance sheet,
allowing ARG to decrease its funded debt
and accrued interest from approximately
$202 million to approximately $23 million,
by exchanging approximately $162 million
of Secured Notes, accrued interest, and
various other obligations for approximately
98% of the common stock of the reorganized
Company. Upon completion of the financial
restructuring, ARG's annual cash interest
costs will be reduced by approximately $19
million.
In addition, ARG has obtained from its existing
lender, Wells Fargo Foothill, part of Wells
Fargo & Company (NYSE:WFC), a commitment
to extend a $30 million DIP facility that
will enable the Company to continue its
operations seamlessly during the restructuring
process. Moreover, Wells Fargo Foothill
provided a commitment letter to ARG providing
for $40 million of new financing upon the
consummation of the Plan.
ARG's President and Chief Executive Officer,
Ralph Roberts, commented, "We are extremely
happy that our out-of-court negotiations
with the Noteholders' Committee has resulted
in an agreement to an overall financial
restructuring of the Company that we expect
to be expeditiously confirmed in Bankruptcy
Court. The support of the Noteholders' Committee
for the Plan of Reorganization is a significant
step towards confirmation of the Plan and
should greatly facilitate an expedited reorganization
process."
Roberts added, "The restructuring will
dramatically deleverage the Company and
provide it with significant additional capital.
Thus equipped, we will implement plans to
refurbish and remodel most of our restaurants
and rejuvenate the brand. The results will
be of immense benefit to our key constituencies,
including our customers, vendors, employees,
and shareholders."
Roberts continued, "The DIP financing
will ensure continued normal business operations
while we seek speedy confirmation of our
pre-negotiated Plan. We will continue our
operations without interruption. Our commitment
to our customers, vendors, and employees
is unwavering. We remain dedicated to providing
the high standard of service our customers
are famililar with."

CA, August 18, 2003 - Stuart Anderson's
announces the grand opening of their 11th
restaurant in the Phoenix market in Chandler,
AZ, on September 15. Responding to consumer
needs, the all accommodating, brand new
establishment features extended hours, an
East facing patio outfitted with misters
and heat lamps, and a bar area four times
larger than any of their other restaurants.
"By listening to our customers, we
have built our best restaurant yet. We have
extended our operating hours from 11:00am
to 1:00am to expand our bar business and
are able to accommodate groups of all sizes.
The bar is positively charged with excitement
due to the new features including a jukebox,
five 42" Plasma TV's and our open-air
patio," said District Manager Scott

The newest restaurant is well located in
the Chandler Festival, right off of Loop

Tornado
stricken Cattle Company re-opens for business

Los Altos,
CA, October 2, 2002 - Stuart Anderson's
Cattle Company Restaurant reopens for business
on October 3, almost two weeks after being
struck by a tornado in Greenwood, a suburb
of Indianapolis. A special 'Winds of Change'
celebration will be held at 5pm to honor
everyone who helped put the restaurant back
on its feet. It will reopen to the public
on Friday, October 4.
On Friday, September 20, a string of tornadoes
struck with winds over 200 miles an hour
in the Indianapolis area. One of the areas
hit the hardest was the Greenwood Shopping
Center in which a category F3 tornado hit
Cattle Company. Damages included the roof
blowing off, multiple windows broken, loss
of power, and water damage. "We were
lucky that we did not get directly hit by
the tornado, unlike some of our other neighbors
in the shopping center. The community really
pulled together to help us clean up and
I want to thank them for all their hard
work and commitment," said Area Manager
Dennis Alspach.
Fortunately no one was injured as they were
not open for business and the employees
were able to take cover. "My very first
concern was that no one was hurt. Once I
knew that, it was a lot easier to focus
on repairing the building and taking the
steps necessary to reopen as soon as possible,"
said President and CEO Ralph Roberts.
In appreciation, a special invite only 'Winds
of Change' dinner will include all parties
that helped rebuild the restaurant. "We
especially want to thank the local fire
and police departments for their support
and dedication to everyone who was affected
by the storm. Also to IPL and Citizen's
Gas for their quick response in getting
utilities restored effectively and efficiently,"
Alspach said. |

area

CA, April 25, 2002 – Stuart Anderson's
Restaurants announces the Grand Opening
of its 109th Black Angus Restaurant, on
May 6th in Lone Tree, its fifth location
in the Denver metropolitan area. Located
near Highway C-470 and south of the Park
Meadows Mall, Stuart Anderson's is looking
forward to open the second location serving
the South Metro Area.
Opening festivities include a ribbon and
"Prime Rib Cutting" ceremony.
These events are open to members of the
media and local dignitaries, by invitation
only. Lone Tree Mayor John O'Boyle, Jr.

The first Black Angus opened in the Denver

The Lone Tree Black Angus restaurant is
6,700 square feet and is expected to serve
over 1,000 lunches and 3,000 dinners a week.
The site is centrally located on the corners
of Yosemite and Kimmer, within the Entertainment
District. "The location is perfect.
